Staking Terms of Service

These Staking Terms of Service (β€œTerms” or β€œAgreement”) govern your access to and use of interface located at https://staking.natix.network/ (referred to as the β€œInterface") collectively referred to as the "Services". These Terms represent a contract between you (the β€œUser/s” or β€œYou” according to the context) and NATIX Network Limited (β€œNATIX Network”, β€œNATIX” or β€œWe”) with registered office at Asia Leading, Chambers, Road Town, Tortola VG1110, British Virgin Islands.

  1. Modifications of these Terms and Services We may change or update the Services, the Terms, and any part of the Terms at any time, for any reason, at Our sole discretion. Once any part of the Terms is updated and in effect, you will be bound by the Terms if you continue to use the Services. We may, at any time, and without liability to you, modify or discontinue all or part of the Services (including access to the Services via any third-party links).

  2. Use of the Services Registration and conclusion of the Agreement is only permitted for natural persons and legal entities with unlimited legal capacity and only in their own name and for their own account. Registration and conclusion of the Agreement for legal entities is only permitted for persons who act as legal representatives or other authorized persons of the respective legal entity or on its behalf and at its interest. Users must have reached 18 at the time of conclusion of the Agreement.

  3. Our Services The Interface provides a web and mobile-based means of access to a decentralized protocol on Solana blockchain (β€œNATIX Network Protocol” or β€œProtocol”), that allows Users to lock up (β€œStake” or β€œStaking”) their $NATIX Token (β€œ$NATIX” or β€œToken”) into the Protocol for a certain timeframe in exchange for receiving $NATIX as a reward (β€œReward”).

    The Interface is distinct from the Protocol and is one, but not the exclusive, means of accessing the Protocol. NATIX Network does not control or operate the Protocol. By using the Interface, you understand We are not intermediaries, agents, advisors, or custodians, and We do not have a fiduciary relationship or obligation to You regarding any other decisions or activities that You perform or affect when using our Services.

    1. Connecting your Wallet To access the Interface, you must use a supported non-custodial wallet software, which allows you to interact with Solana blockchain (β€œWallet”). Your relationship with that non-custodial wallet provider is governed by the applicable terms of service. We do not have custody or control over the contents of Your wallet and have no ability to retrieve or transfer its contents. The list of supported Wallets is displayed in the Interface.

      Upon successfully connecting your Wallet, You will be able to see your Wallet public address and your $NATIX balance.

      You are able to disconnect your Wallet at any time.

      We process only the necessary information to provide our Services. For more details on how we use this data, please refer to our Privacy Policy.

    2. Interaction with NATIX Network Staking Protocol The Interface provides non-exclusive access to the Protocol, allowing Users to perform actions such as Staking, Unstaking, and claiming Rewards, as governed by the Protocol under the Solana program address: 7sjdasyvYssSaS26Z9HxenBBPUtxyFg77rhVnnzohCrW.

  4. Information of staking Protocol In this section, We describe the current behavior of the Protocol as of the GitHub commit dated August 22, 2024 (GitHub commit hash: 679866c484b6824872df0f9bba3301611a0a65ab). The Interface is not responsible for the design of procedures, issues, bugs, or any change of the procedures of the Protocol.

    DO NOT SEND YOUR $NATIX DIRECTLY TO STAKING CONTRACT ADDRESSES, WITHOUT RESPECTING THE RULES AND CONDITIONS PRESCRIBED BY THE PROTOCOL. Doing so will lead to losing your assets irreversibly. NATIX Network is not and shall not be liable for any loss of funds resulting from sending your $NATIX to Staking Contract Address.

    1. Staking your $NATIX To Stake $NATIX, the Protocol requires Users to meet certain requirements:

      1. The User needs to have a balance of at least the minimum amount they want to Stake,

      2. The User needs to have a balance of at least the minimum staking amount (β€œMinimum staking amount”),

      3. The User can only Stake a total amount of $NATIX that is less or equal to the maximum staking amount (β€œMaximum staking amount”).

      User’s $NATIX balance, Minimum staking amount and Maximum staking amounts are clearly displayed in the Interface.

    2. Rewards y Staking $NATIX, the Protocol entitles the Users to receive rewards in $NATIX. The Reward amount is defined as annual percentage yield (β€œAPY”) which is determined by the Protocol and is calculated as annual percentage yield on the amount of staked $NATIX.

      The APY is clearly displayed in the Interface.

      The accrued Rewards are added to the already Staked $NATIX. The User will keep earning Rewards as long as they don’t trigger the Unstaking procedure prescribed by the Protocol.

    3. Unstaking $NATIX Users are able to withdraw (β€œUnstake”) their Staked $NATIX from the Protocol by submitting a request to Unstake at any time. Unstaking is subject to the following conditions:

      1. User is able to Unstake up to the sum of $NATIX they Staked and the Rewards they received at the moment the request is made.

      2. Users can Unstake $NATIX without penalty, receiving 100% of the Staked $NATIX (including the Reward). The Unstaking of the requested $NATIX will be completed after a certain amount of time (β€œCooldown Period”) .

      3. Users opting for immediate Unstaking will forfeit a penalty, which is calculated as a percentage of the amount of $NATIX the User requested to Unstake (β€œPenalty Rate”). The requested amount of $NATIX will be offset against the requested Penalty Rate and the remaining $NATIX will be Unstaked and transferred User's Wallet. Please note that due to the nature of the blockchain technology, transfer times are dependent on the current congestion of the blockchain used to transfer $NATIX, and immediate transfers cannot always be guaranteed.

      The Cooldown Period and the Penalty Rate are clearly displayed in the Interface.

  5. User’s Responsibilities

    1. Prohibited Activity You agree not to engage in, or attempt to engage in, any of the following categories of prohibited activity in relation to your access and use of the Interface:

      1. Intellectual Property Infringement. Activity that infringes on or violates any copyright, trademark, service mark, patent, right of publicity, right of privacy, or other proprietary or intellectual property rights under the law.

      2. Cyberattack. Activity that seeks to interfere with or compromise the integrity, security, or proper functioning of any computer, server, network, personal device, or other information technology system, including, but not limited to, the deployment of viruses and denial of service attacks.

      3. Fraud and Misrepresentation. Activity that seeks to defraud Us or any other person or entity, including, but not limited to, providing any false, inaccurate, or misleading information in order to unlawfully obtain the property of another.

      4. Market Manipulation. Activity that violates any applicable law, rule, or regulation concerning the integrity of trading markets.

      5. Use Stolen Property. Use of stolen items, fraudulently obtained items, items taken without authorization, and/or any other illegally obtained items.

      6. Data Mining or Scraping. Activity that involves data mining, robots, scraping, or similar data gathering or extraction methods of content or information from our Services.

      7. Objectionable Content. Activity that involves soliciting information from anyone under the age of 18 or that is otherwise harmful, threatening, abusive, harassing, tortious, excessively violent, defamatory, vulgar, obscene, pornographic, libelous, invasive of another's privacy, hateful, discriminatory, or otherwise objectionable.

      8. Any Other Unlawful Conduct. Activity that violates any applicable law, rule, or regulation.

    2. Non-Custodial and No Fiduciary Duties Our Services have purely non-custodial applications, meaning we do not ever have custody, possession, or control of your digital assets at any time. It further means you are solely responsible for the custody of the cryptographic private keys to the digital asset wallets you hold, and you should never share your Wallet credentials or seed phrase with anyone. We accept no responsibility for, or liability to you, in connection with your use of a Wallet and make no representations or warranties regarding how our Services will operate with any specific Wallet. Likewise, you are solely responsible for any associated Wallet and we are not liable for any acts or omissions by you in connection with or as a result of your Wallet being compromised.

      This Agreement is not intended to, and does not, create or impose any fiduciary duties on us. To the fullest extent permitted by law, you acknowledge and agree that we owe no fiduciary duties or liabilities to you or any other party, and that to the extent any such duties or liabilities may exist at law or in equity, those duties and liabilities are hereby irrevocably disclaimed, waived, and eliminated. You further agree that the only duties and obligations that we owe you are those set out expressly in this Agreement.

    3. Compliance and Tax Obligations Our Services may not be available or appropriate for use in your jurisdiction. By accessing or using Services, you agree that you are solely and entirely responsible for compliance with all laws and regulations that may apply to you.

      Specifically, your use of our Interface or the Protocol may result in various tax consequences, such as income or capital gains tax, value-added tax, goods and services tax, or sales tax in certain jurisdictions.

      It is your responsibility to determine whether taxes apply to any transactions you initiate or receive and, if so, to report and/or remit the correct tax to the appropriate tax authority.

    4. Transaction Fees Blockchain transactions require the payment of transaction fees to the appropriate network ("Transaction Fees"). Except as otherwise expressly set forth in the Terms or another offer by NATIX Network, you will be solely responsible for paying the Transaction Fees for any actions that you initiate via our Services.

  6. Disclaimers BY ACCESSING AND USING THE INTERFACE, YOU REPRESENT THAT YOU ARE FINANCIALLY AND TECHNICALLY SOPHISTICATED ENOUGH TO UNDERSTAND THE INHERENT RISKS ASSOCIATED WITH USING CRYPTOGRAPHIC AND BLOCKCHAIN-BASED SYSTEMS, AND THAT YOU HAVE A WORKING KNOWLEDGE OF THE USAGE AND INTRICACIES OF DIGITAL ASSETS.

    IN PARTICULAR, YOU UNDERSTAND THAT THE MARKETS FOR THESE DIGITAL ASSETS ARE NASCENT AND HIGHLY VOLATILE DUE TO RISK FACTORS INCLUDING, BUT NOT LIMITED TO, ADOPTION, SPECULATION, TECHNOLOGY, SECURITY, AND REGULATION. YOU UNDERSTAND THAT ANYONE CAN CREATE A TOKEN, INCLUDING FAKE VERSIONS OF EXISTING TOKENS AND TOKENS THAT FALSELY CLAIM TO REPRESENT PROJECTS, AND ACKNOWLEDGE AND ACCEPT THE RISK THAT YOU MAY MISTAKENLY TRADE THOSE OR OTHER TOKENS.

    FURTHER, YOU UNDERSTAND THAT SMART CONTRACT TRANSACTIONS AUTOMATICALLY EXECUTE AND SETTLE, AND THAT BLOCKCHAIN-BASED TRANSACTIONS ARE IRREVERSIBLE WHEN CONFIRMED. YOU ACKNOWLEDGE AND ACCEPT THAT THE COST AND SPEED OF TRANSACTING WITH CRYPTOGRAPHIC AND BLOCKCHAIN-BASED SYSTEMS ARE VARIABLE AND MAY INCREASE DRAMATICALLY AT ANY TIME.

    YOU ACKNOWLEDGE THAT WE ARE NOT RESPONSIBLE FOR ANY OF THESE VARIABLES OR RISKS, DO NOT OWN OR CONTROL THE PROTOCOL, AND CANNOT BE HELD LIABLE FOR ANY RESULTING LOSSES THAT YOU EXPERIENCE WHILE ACCESSING OR USING THE PROTOCOL. ACCORDINGLY, YOU UNDERSTAND AND AGREE TO ASSUME FULL RESPONSIBILITY FOR ALL OF THE RISKS OF ACCESSING AND USING THE INTERFACE TO INTERACT WITH THE PROTOCOL

  7. No Warranties THE INTERFACE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ANY REPRESENTATIONS AND WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING, BUT NOT LIMITED TO, THE WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. YOU ACKNOWLEDGE AND AGREE THAT YOUR USE OF THE INTERFACE IS AT YOUR OWN RISK. WE DO NOT REPRESENT OR WARRANT THAT ACCESS TO THE INTERFACE WILL BE CONTINUOUS, UNINTERRUPTED, TIMELY, OR SECURE; THAT THE INFORMATION CONTAINED IN THE INTERFACE WILL BE ACCURATE, RELIABLE, COMPLETE, OR CURRENT; OR THAT THE INTERFACE WILL BE FREE FROM ERRORS, DEFECTS, VIRUSES, OR OTHER HARMFUL ELEMENTS. NO ADVICE, INFORMATION, OR STATEMENT THAT WE MAKE SHOULD BE TREATED AS CREATING ANY WARRANTY CONCERNING THE INTERFACE. WE DO NOT ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY ADVERTISEMENTS, OFFERS, OR STATEMENTS MADE BY THIRD PARTIES CONCERNING THE INTERFACE. SIMILARLY, THE PROTOCOL IS PROVIDED "AS IS", AT YOUR OWN RISK, AND WITHOUT WARRANTIES OF ANY KIND. WE DO NOT PROVIDE, OWN, OR CONTROL THE PROTOCOL, WHICH IS RUN AUTONOMOUSLY WITHOUT ANY HEADCOUNT BY SMART CONTRACTS DEPLOYED ON VARIOUS BLOCKCHAINS. NO DEVELOPER OR ENTITY INVOLVED IN CREATING THE PROTOCOL WILL BE LIABLE FOR ANY CLAIMS OR DAMAGES WHATSOEVER ASSOCIATED WITH YOUR USE, INABILITY TO USE, OR YOUR INTERACTION WITH OTHER USERS OF, THE PROTOCOL, INCLUDING ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE OR CONSEQUENTIAL DAMAGES, OR LOSS OF PROFITS, CRYPTOCURRENCIES, TOKENS, OR ANYTHING ELSE OF VALUE. WE DO NOT ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY ADVERTISEMENTS, OFFERS, OR STATEMENTS MADE BY THIRD PARTIES CONCERNING THE PROTOCOL.

  8. Liability NATIX Network shall be liable to the Users in all cases of contractual and non-contractual liability in the event of willful intent and gross negligence in accordance with the statutory provisions for damages or compensation for wasted expenditure. In other cases, NATIX Network shall only be liable in the event of a breach of a contractual obligation, the fulfilment of which is essential for the proper performance of the Campaign and on the observance of which the User may regularly rely (so-called cardinal obligation), limited to compensation for foreseeable and typical damage. In all other cases, NATIX Network's liability is excluded. Liability for damages under the Consumer Protection Act of Virgin British Islands shall remain unaffected by the above limitations and exclusions of liability.

  9. Miscellaneous

    1. Choice of Law The law of the British Virgin Islands shall apply to the exclusion of the UN Convention on Contracts for the International Sale of Goods and the conflict of laws. Consumers may invoke more favorable provisions of their local law at any time.

    2. Entire Agreement The Agreement and any policies or operating rules posted by us on the Services constitute the entire agreement and understanding between you and us and govern your use of the Services, superseding any prior or contemporaneous agreements, communications, and proposals, whether oral or written, between you and us (including, but not limited to, any prior versions of these Terms). Any failure by us to exercise or enforce any right or provision of the Agreement shall not constitute a waiver of such right or provision.

    3. Severability Clause If one or more present or future provisions of these Terms should be or become invalid or unenforceable in whole or in part, the validity and enforceability of the remaining provisions shall not be affected thereby. The invalid, illegal, unenforceable and/or unenforceable provision shall be deemed to be replaced by such valid, legal and enforceable provision as is consistent as far as possible with the spirit and economic purpose of the Terms and the original intention of the parties.
