Scope and General Information
These Terms (the “Terms”, or “Agreement”) govern your use of the NATIX Companion App (“App”) offered by NATIX Network Limited, with registered office at Asia Leading, Chambers, Road Town, Tortola VG1110, British Virgin Islands (“NATIX Network” or “We”). The App enables Users (the “User/s” or “You” according to the context) to collect Points (as defined in Section 5 of these Terms) by sharing driving video footage and related metadata with NATIX Network in accordance with the terms set out in this Agreement. Points can later qualify the User to earn rewards, as it will be better detailed in these Terms
In order to use the App, Users must accept the Terms. The conclusion of the agreement shall be governed by the provisions of Section 5 of these Terms.
Registration and conclusion of the Agreement is only permitted for natural persons and legal entities with unlimited legal capacity and only in their own name and for their own account. Registration and conclusion of the Agreement for legal entities is only permitted for persons who act as legal representatives or other authorized persons of the respective legal entity or on its behalf and at its interest. Users must have reached the age of 18 at the time of registration and conclusion of the Agreement. NATIX Network may require the User to provide additional information and documents to comply with any authority's request.
What are You Agreeing To?
By registering and using the App, you agree to:
Allow NATIX Network to collect, process, and use your Location Based Data (as defined in Section 3 of these Terms) in accordance with these Terms and our .
Grant NATIX Network a license to commercially use, modify, and distribute products derived from your submitted Location Based Data.
Participate in the NATIX Network reward system and Epoch, subject to specific rules outlined in Section 6 of these Terms.
Description of the App’s purpose
he App is designed to work exclusively with the VX360 device by NATIX Network (the “VX360”). Its primary purpose is to enable Users to collect Points (as defined in Section 6 of these Terms) by sharing driving footage and related data with NATIX Network, as described in Section 6.c of these Terms.
To enable this functionality, the App enables the transmission of video recordings from the local storage of the User’s VX360, that is real footage created by Your Tesla car’s dashcam (“Footage”), as well as Footage-related metadata, such as but not limited to location and acceleration, from the User's VX360 device and the User’s phone (“Metadata”) to NATIX Network.
The App collects three types of Footage from the User's VX360, which may include video and associated Metadata:
Tesla Dashcam Footage: Video captured by the Tesla dashcam system during driving. This footage is recorded based on the vehicle’s configuration.
Tesla Sentry Mode Footage: Video captured automatically by Tesla’s Sentry Mode feature when the vehicle is parked.
VX360 Clips: Short video clips automatically copied by the VX360 device during active driving. These clips are curated to capture high-value road data (VX360 Clips and Metadata together referred to as “Location Based Data”). Each of these types of footage is subject to NATIX Network’s data processing rules as described in these Terms and our Privacy Policy.
As part of this process, Location Based Data is stored using a cloud storage solution managed by NATIX Network (the “Cloud”). If the User opts in, the App will enable automatic backup of Footage to their Cloud and access for the User to that Footage of up to 3 TB (“Cloud Capacity”). Users are able to download up to 70 GB of Footage per month from the Cloud.
The scope and limitations of storage depend on the type of Footage:
Tesla Sentry Mode Footage: All Sentry Mode Footage stored on Your VX360 is uploaded to and stored in full in the Cloud.
Tesla Dashcam Footage: A limited portion of the Dashcam Footage is stored in the Cloud, specifically, every time a Dashcam event’s footage is stored by Tesla, up to:
3 minutes for Tesla vehicles equipped with Hardware Version 3, or
2 minutes for Tesla vehicles equipped with Hardware Version 4.
VX360 Clips: VX360 Clips are uploaded and stored in the Cloud only under the following criteria:
Driving Behavior
Maintain a speed between 2 km/h and 80 km/h when the size of Location Based Data and Footage pending upload is below 20 GB.
Maintain a speed between 10 km/h and 50 km/h when the size of Location Based Data and Footage pending upload is equal to or exceeds 20 GB.
ulfilling or omission of Driving Patterns (e.g., special, missing or erratic acceleration behavior, breaking events and other driving patterns) may impact VX360 Clip collection. Detailed behavioral impacts are published in public user information resources when the criteria are implemented.
Time of Use
Driving activity must occur between 05:00 and 22:00 User’s local time.
VX360 Clips may only be recorded during time windows, e.g. dependent on local conditions, as defined dynamically by the system and published in public user information resources.
Location Restrictions
Users must operate outside their self-defined privacy zones (if the Users have defined their privacy zones).
Driving within sensitive locations (e.g., military sites, hospitals, or flagged areas) will suppress clip collection. These zones are defined in NATIX Network’s public user information resources when the criteria are implemented.
Users must operate outside general privacy and prohibited areas defined by NATIX Network or requested by users.
Settings and Data Quality Requirements
Users must complete the full onboarding of both the VX360 device and the App using the App, and grant all required permissions.
The VX360 must remain connected to the App during the entire drive session.
Footage that does not meet the above criteria will not be stored, scored, or eligible for Evaluation (as described in Section 6.f of these Terms).
User’s access to the Footage stored in the Cloud is automatically removed once one of the following conditions is met:
The Footage has been stored in the Cloud for one (1) month; or
The volume of stored Footage reaches 3TB.
Users acknowledge and agree that it is their sole responsibility to back up any Footage they wish to retain before access is removed and that once access to specific Footage is removed, NATIX Network will not provide access to that Footage again.
Device Compatibility and Discontinuation
NATIX Network may phase out support for VX360 models or operating systems. This may include disabling features, ending compatibility with certain devices, or discontinuing support for software updates or connectivity.
NATIX Network reserves the right to discontinue compatibility with hardware, provided that Users are given at least 90 days’ prior notice via email and/or in-App notification; and
Discontinuation of support does not entitle users to refunds or compensation unless otherwise required by applicable consumer law.
How to register
To use the App, Users must download it from the Google Play Store or Apple App Store and complete the registration process to create a personal profile (“Account”). By completing the registration and accepting these Terms, the User makes a binding offer to enter into a contract with NATIX Network. The contract is concluded once NATIX Network confirms the registration by sending a confirmation email or SMS and the User completes the confirmation (e.g., by clicking a verification link, entering a code or authorizing NATIX Network to access your Google/Apple/Discord account data), thereby activating the Account (double opt-in).
Only natural persons and legal entities with full legal capacity may register. Users acting on behalf of a legal entity confirm that they have the authority to bind that entity to these Terms.
Users are responsible for ensuring that all information provided during registration is complete, accurate, and up to date. Users must promptly update their information if it changes and, upon request by NATIX Network, confirm the accuracy of their data.
Once registered, Users can access their Account using their login credentials. NATIX Network may send onboarding instructions or important service information to the registered contact details.
Epoch Rules
An Epoch (“Epoch”) is a time-limited program organized by NATIX Network during which Users may contribute Location Based Data and potentially earn rewards based on participation and evaluation criteria described in this Section 6.
Duration of the Epoch The Epoch starts on the first calendar day of each calendar month (usually at ca. 00:00:01 of the local time zone) and ends on the last calendar day each calendar month(usually at ca. 23:59:59 of the local time zone).
Rewards
During the Epoch, the User can receive the following rewards (the “Rewards”) by providing Location Based Data to NATIX Network:
Points which determine the tier of the Users (the “Tier”) during the Epoch (“Points”). Points will reset to 0 at the start of each Epoch.
Points that can be redeemed for certain goods, products or services via the App (the “GEMs”). GEMs are earned at the end of the Epoch, and the number of GEMs earned is determined by User’s Tier at the end of the Epoch.
Points that are not GEMs and that can be redeemed for certain goods, products and services via the App (the “NATIX”). Users may or may not earn NATIX at the end of the Epoch, depending on their Tier at the end of the Epoch.
How to start collecting Points
To begin collecting Points, follow the steps outlined below:
After completing the registration as described in the Section 5 of these Terms, you will need to log in to Your Tesla account to allow integration between Your vehicle and the App.
You need to establish a connection between the App and the VX360 by granting Bluetooth and location permissions to the App. You will also need to select and connect to a Wi-Fi network to enable data uploads. You must review and provide consent for data sharing, which ensures that your footage can be processed and analyzed. After these steps are completed, you need to ensure your VX360 device has all necessary updates installed before becoming fully operational.
To ensure optimal performance of the App, your phone must be in a stable position inside your vehicle, either on the central surface or securely mounted. GPS and Bluetooth of Your phone must be turned on . The App must be running in the background to maintain connectivity and proper data collection.
Once Location Based Data is collected and the VX360 is connected to a WiFi network set up as described in Section 6.d.i.2 of these Terms, the Location Based Data will be uploaded to Your Cloud and then shared with Us.
Due to the large-scale processing of Location Based Data, there may be a delay of several days between the time Location Based Data is shared with Us and when Points appear in Your balance.
Point collection rules
For each kilometer driven the corresponding Location Based Data must be uploaded and shared to be eligible for evaluation (described in Section 6.f. of these Terms). A kilometer driven with all required Location Based Data uploaded is assigned a configurable base point value ("Base Points"). The Base Point value per kilometer is set at 10 points per kilometer. Before being awarded to users, Base Points undergo a validation process based on data integrity and validation criteria, which may adjust the final awarded amount.
Evaluation Process
After the upload of all associated Location-Based Data, each driven kilometer may undergo a step-by-step evaluation process. The exact checks applied may vary from time to time.
All Users are subject to the same evaluation criteria during an Epoch, and no User will be evaluated using a more or less favorable set of checks than others. After the evaluation is complete, Users can view within the App which specific checks were applied to their Location-Based Data and how it performed against each.
The validation process may include the following checks:
Health Check. This step ensures that the clips associated with the kilometer driven are unique and free from visibility issues such as but not limited to excessive sun glare, darkness, or snow obstruction.

The verification process stops, and the Location-Based Data will not be rewarded any base points. Additionally, all associated Location-Based Data for that kilometer will be permanently deleted.
GPS & Timestamp Evaluation
This step verifies that the GPS data and timestamp metadata of the Location-Based Data are accurate and coherent.
A GPS & Timestamp matching metadata score (“Metadata Score") is determined for each kilometer.
If the kilometer driven falls below the required Metadata Score, a corresponding percentage reduction in points is applied as follows.

Late Upload Check
This step measures the time elapsed between data collection and the completed upload time of the first VX360 clip associated with the kilometer driven.
If the elapsed time is below the first threshold, no penalty is applied.
If multiple thresholds are exceeded, the penalty from the highest exceeded threshold is applied.

Calculation and Distribution of Point Rewards
The final Points Reward is determined using the following formula: Points Reward = Base Reward Ă— (1 - Health Check Penalty) Ă— (1 - GPS & Timestamp Metadata Penalty) Ă— (1 - Late Upload Penalty)
Tiers, earning GEMs and NATIX
Based on their accumulated Points during the Epoch, Users progress through higher tiers. At the beginning of the Epoch, all Users start at the lowest Tier. The lower and upper limits for each tier in the current Epoch are displayed in the App.
At the end of the Epoch, Users receive their NATIX and GEM rewards based on the Tier they are part of at that point in time.
Marketplace
NATIX and GEMs can be exchanged for certain goods, products and/or services (“Offers”) via the in-App Marketplace (“Marketplace”) (“Redeeming”). The amount of NATIX and/or GEMs required to redeem can be found in the Marketplace section of the App. Users can Redeem following the procedure present in the specific section in their Account on the App.
When Users exchange their NATIX or GEMs for an available good, product and/or service, the indicated number of NATIX and/or GEMs is deducted from the total amount of NATIX and/or GEMs assigned to their account at the time of Redeeming.
To redeem NATIX and GEMs in the Marketplace and use the received Offers, Users need to meet certain requirements:
The User needs to have a balance of at least the required amount of NATIX or GEMs to redeem the chosen option.
The User needs to provide different information depending on the type of Offer.
To use a received voucher, the User needs to buy something (as indicated during the redeeming process) via a different, usually 3rd party website and provide additional details, e.g. User’s address to that 3rd party. For use of a 3rd party voucher, the Terms and Conditions of the issuer of the voucher apply.
To receive physical products, the User needs to be able to receive standard mail deliveries at their indicated address.
User needs to use a received voucher before its expiration date.
How to link your Wallet
The App allows Users to link a cryptocurrency wallet (the “Wallet”) to the App. By using the Link your Wallet feature of the App and following the instructions, You can link one of the supported Wallets listed in the App. By linking your Wallet, You agree to the App accessing your public wallet address (“Public Address”). The list of supported blockchains is displayed in the App. You are responsible for choosing a Wallet provider that adequately secures your cryptocurrency assets and personal information. You are responsible for ensuring the Wallet you link is a supported wallet, NATIX Network is not and shall not be liable for any loss of funds resulting from linking an unsupported Wallet, except where such loss is directly due to the Our fault or breach of contract.
You are responsible for ensuring the security of Your Wallet and must not share Your private keys or seed phrases with the App. We will not request Your private keys or seed phrases.
We collect only the necessary information to provide our services. For more details on how We use this data, please refer to our Privacy Policy.
NATIX “Withdrawal”
Overview
If the “Withdraw” feature is activated in the App, Users can convert their NATIX and receive on-chain NATIX ("$NATIX") in their Solana Wallet.
Withdrawal Conditions
Conversion Ratio: The conversion of NATIX to $NATIX is at a 1:1 ratio.
Conversion Options: Users have two options for conversion at different conditions:
Conversion with a Cooldown Period: Users can convert NATIX without penalty, receiving 100% of the converted NATIX as $NATIX. The transfer of the requested $NATIX will be completed after a certain amount of time (“Cooldown Period”).
Immediate Conversion: Users opting for immediate conversion will forfeit a percentage of the amount of the NATIX the User requested to convert. The requested amount of NATIX will be offset against the requested amount and the remaining NATIX will be converted into $NATIX which will be sent to the User's Wallet. Please note that due to the nature of the blockchain technology, transfer times are dependent on the current congestion of the blockchain used to transfer $NATIX, and immediate conversions cannot be guaranteed.
Depending on the option the User chooses, the conditions will be shown in the “Withdraw” section of the App on the confirmation screen.
Blockchain transactions require the payment of fees for using the appropriate network ("Network Fees"). Except as otherwise expressly set forth in these Terms, You will be solely responsible for paying the applicable Network Fees for any on-chain actions that You initiate.
Minimum Conversion Amount: The minimum amount of NATIX that can be converted in one conversion is displayed in the “Withdraw” section of the App.
Account Balance: Users can only convert the amount of NATIX available in their Account at the time of the conversion request.
User Responsibility Please note that $NATIX is an on-chain cryptographic token, and that the lost tokens or the tokens sent (or converted) to the wrong address cannot be retrieved or refunded. Users are responsible for ensuring the accuracy of the Public Address of the Wallet provided for conversion. NATIX Network is not responsible for any loss or misdirection of $NATIX due to incorrect Public Address entries by the User. We recommend double-checking the Wallet details before submission to avoid any potential errors or loss of $NATIX.
Location restrictions
IP Addresses from the following regions are not able to use the “Withdraw” feature (This list may change from time to time at the discretion of NATIX Network):
USA,
Canada,
China,
Cuba,
Iran,
Myanmar,
Syria,
All countries that are on the sanctions lists of the European Union, the United Kingdom and the USA.
User Generated Content
Ownership and Responsibility You retain all ownership within the limits of these Terms and all intellectual property rights in and to any Location Based Data you upload using the App while it is available to you in the Cloud. By submitting Location Based Data, you confirm that you have all necessary rights to upload and license the data, and that it does not infringe any third party's rights.
License Grant By sharing any Location Based Data to NATIX Network, you grant Us and our affiliates and service providers, and each of their and our respective licensees, successors, and assigns, a royalty-free, non-exclusive, worldwide license to use, reproduce, modify, perform, display, broadcast, transmit, distribute, make derivative works of, and otherwise disclose to third parties any such content you make available to NATIX Network for the following purposes:
Operating and improving the App and its features.
Aggregating and analyzing data for the creation of commercial products and services.
Validating reward eligibility and preventing fraud.
Complying with legal obligations or law enforcement requests.
Scope and Duration
This License:
Applies only to data uploaded through the App and only for the purposes described in Section 12.b above.
Continues for as long as reasonably necessary to fulfill these purposes.
Does not transfer ownership to NATIX Network.
Does not authorize NATIX Network to attribute it to you personally without your consent.
Commercial Use Notice By using the App, you acknowledge that aggregated and anonymized Location Based Data may be used in commercial offerings by NATIX Network or its affiliates.
Feedback
Any suggestions, ideas, or feedback you submit voluntarily to NATIX Network may be used without compensation or restriction, unless otherwise agreed in writing.
We are not responsible or liable to any third party for the content or accuracy of any Location Based Data provided by You or any other User. Additionally, we may remove any of Your Location Based Data in Our sole and exclusive discretion.
User’s Obligations
By accepting the Terms, the User agrees that while using the App, they will remain aware of their surroundings and drive safely. Moreover, the User agrees that their use of the App is at their own risk, and that they will not use the App in connection with any violation of any applicable law, regulation, or instructions as outlined in the Agreement.
In particular, Users are obliged to:
drive in full compliance with all the applicable road traffic laws and rules;
maintain secret and not disclose, directly or indirectly, the credentials to entering the Account, thus preventing them from being used improperly or unduly and in any case remaining responsible for any use of them;
provide only true, correct and complete information;
respect and comply with any applicable law or regulation in connection with the use of the App;
respect and comply with any guideline, indication, order, as well as recommendation provided by NATIX Network in relation to the use of the App;
not use the App in the territories of China, North Korea and Iran.
By the same token, Users agree not to, and shall refrain from:
taking any action that would compromise the cybersecurity of the App;
using the App in any way that could damage, disable, overburden, or impair its functioning in any manner;
extract, scrape, or index the any content from the App;
harvest or collect email addresses or other contact information of other Users from the App by electronic or other means;
using any malware, site search/retrieval application, or other device to retrieve or index any portion of the App or the content posted on the App, or to collect information about its Users for any unauthorized purpose;
attempt to decipher, decompile, disassemble, or reverse engineer any of the software used to provide the App;
bypass, remove, deactivate, descramble, or otherwise circumvent any technological measure implemented by NATIX Network or any of NATIX Network’s providers or any other third party (including another User) to protect the App;
attempt to probe, scan, or test the vulnerability of any NATIX Network system or network, or breach any security or authentication measures;
forge any TCP/IP packet header or any part of the header information in any email or newsgroup posting, or in any way use the App to send altered, deceptive, or false source identifying information;
interfere with, or attempt to interfere with, the access of any user, host, or network, including, without limitation, sending a virus, overloading, flooding, spamming, or mailbombing the App;
delete, obscure, or in any manner alter any attribution, warning, or link that appears in the App;
creating user accounts by automated means or under false or fraudulent pretenses;
violating any applicable local, state, national or international law, or any regulations having the force of law;
encouraging or enabling any other individual to do any of the above.
Cheating Prevention
NATIX Network prohibits cheating and constantly takes steps to improve its anti-cheat measures. Cheating includes any action that attempts to or alters or interferes with the normal behavior or rules of the App. Cheating includes, but is not limited to, any of the following behavior, on User’s behalf or on behalf of others:
accessing the App in an unauthorized manner (including using modified or unofficial third-party software);
creating and/or using multiple accounts
sharing Accounts;
using any techniques to alter or falsify a device’s location (for example through GPS spoofing);
trying to trick the system so as to get more Rewards in any possible way; and/or
selling or trading their Account.
NATIX Network will not provide support to Users who attempt actions described in section 17.a.
By accepting the Terms, Users agree that NATIX Network may employ any lawful mechanisms to detect and respond to cheating, fraud, and other behavior prohibited under these Agreement, including checking your device for the existence of exploits or hacking and/or unauthorized software. Please see our Privacy Policy for more information.
Liability and limitations of liability
Subject to the further provisions of this Section, NATIX Network shall only be liable if and to the extent that NATIX Network, its legal representatives, executives, employees or other vicarious agents are guilty of intent or gross negligence. However, in the event of default by NATIX Network or impossibility of performance for which NATIX Network is responsible and in the event of breach of material contractual obligations (so-called cardinal obligations), NATIX Network shall be liable for any culpable conduct on its part or on the part of its legal representatives, executives, employees or other vicarious agents. Essential contractual obligations are defined abstractly as those obligations whose fulfillment is essential for the proper execution of the contract and on whose compliance the users may regularly rely.
In the case of breach of material contractual obligations (so-called cardinal obligations), the liability of NATIX Network shall be limited to the amount of damages typically foreseeable at the time of conclusion of the contract.
NATIX Network makes every effort to provide uninterrupted access to the App and to ensure error-free transmission of data. However, due to the nature of the Internet, uninterrupted access and error-free transmission cannot be guaranteed. In addition, access to the App or parts of the App may occasionally be suspended or restricted to allow for repair work, maintenance or the introduction of new features.
NATIX Network shall not be liable for any delay or failure to perform its obligations under the Contract if the delay or failure is due to unforeseeable circumstances or force majeure.
Furthermore, NATIX Network shall not be liable for any failure caused by:
Hardware, software or other components not provided by NATIX Network;
the User not complying with the contract or the changes and updates specified by NATIX Network.
The exclusions and limitations of liability set out in the above sections shall not apply in the case of the assumption of express guarantees, in the case of claims due to the absence of warranted characteristics and for damages arising from injury to life, limb or health and in the case of mandatory statutory provisions.
Liability for damages under the Consumer Protection Act of Virgin British Islands and for damages resulting from injury to life, limb and health shall remain unaffected by the above limitations and exclusions of liability.
Nothing in this Agreement excludes, limits, or modifies any rights or remedies that are legally guaranteed to consumers under applicable law. If Your statutory rights under local law remain unaffected.
If You reside in a jurisdiction that does not allow the limitation or exclusion of liability for certain types of damages, some of the above limitations may not apply to You. In such cases, NATIX Network’s liability shall be limited to the maximum extent permitted by law.
Third-Party Services and Liability
Use of Third-Party Services. The App may enable or require access to services, products, platforms, or websites provided by independent third parties (“Third-Party Services”), including but not limited to:
Cryptocurrency wallet providers;
Voucher issuers and partner marketplaces;
Delivery and logistics providers;
Data storage, payment, or analytics platforms.
NATIX Network has no control over, and is not responsible for, the content, functionality, accuracy, availability, or practices of any Third-Party Services.
No Endorsement or Warranty. Inclusion of any Third-Party Service in the App does not imply endorsement, affiliation, or warranty of its quality or reliability. NATIX Network does not guarantee that any Third-Party Service will operate without interruption or error, or that it will remain available during Your use of the App.
User Responsibility. You are solely responsible for:
Reviewing and agreeing to the terms and privacy policies of any Third-Party Service You choose to interact with;
Ensuring compatibility and security of Your devices and wallets when using such services;
Providing accurate information required by third parties;
Managing and securing Your own accounts, private keys, and redemption codes.
NATIX Network will not be liable for any damages, losses, or failures arising from Your use of or reliance on Third-Party Services, including but not limited to:
Loss of tokens or assets except where such loss is directly due to the Our fault or breach of contract;
Failure to receive goods or services from voucher providers;
Security breaches originating from third-party platforms.
Support Limitations. Support for Third-Party Services is provided by the respective provider. NATIX Network cannot intervene in disputes or refund claims related to failures by third parties, except where otherwise expressly required by law or agreed in writing. Any assistance NATIX Network may offer in relation to third-party services is provided solely as a courtesy and without obligation. Such assistance does not constitute a commitment to future support, nor does it imply any warranty, guarantee of accuracy, or assumption of liability.
Changes to Third-Party Services. NATIX Network reserves the right to change or remove access to any Third-Party Services at any time, without notice or liability, including due to technical, commercial, or legal reasons.
Suspension and termination of the Account
In case of misuse or abuse attributable to the User, NATIX Network reserves the right to suspend, restrict, terminate or anyway block the User access to the App in NATIX Network's reasonable and sole discretion and without prior notice. Such abuse or misuse exists in particular when:
the User fails to comply with the Terms;
NATIX Network suspects fraud, cheating, or misuse by the User; or
NATIX Network suspects any other unlawful activity associated with the User’s Account; or
NATIX Network is informed of misuse or abuse or suspected misuse or abuse by other parties.
Moreover, NATIX Network reserves the right to suspend, restrict, terminate or anyway block the User access to the App in NATIX Network 's reasonable and sole discretion if an Account is inactive (i.e., not used or logged-into) for a period of time. In such cases NATIX Network will notify the User via the App prior to termination of the Account.
Termination of the Agreement
NATIX Network has the right to unilaterally declare the Agreement terminated, without prejudice to compensation for damages, in case the User results in breach of Sections 14 and 17 of these Terms. NATIX Network furthermore expressly reserves the right to assert claims for damages.
NATIX Network reserves the right to terminate this Agreement and the User’s access to the App at any time, with a 4 weeks notice, for any reason at NATIX Network’s sole discretion.
In case of termination according to the provisions of Article 18.a., NATIX Network shall provide the Users with a two (2) weeks' notice period to exercise their claims. Users recognize that all Benefits accumulated, as well as any advantage or other kind of benefit acquired but not enjoyed in connection with the use of the App via the Account deleted will be considered as irrevocably lost.
Users can terminate the Agreement at any time by deleting their Account via the specific section in the App menu.
Data processing The personal data you provide will be processed by NATIX Network in accordance with the General Data Protection Regulation ("GDPR") and as outlined in the privacy policy available at the following link: .
Intellectual Property
The App as well as the related copyrights and any other intellectual and/or industrial property rights pertaining to the trademark NATIX Network (“Trademark”), including but not limited to text, graphics, designs, logos, icon buttons, images, audio files, digital downloads, data and software collections, directories or other databases, domain names, other distinctive signs, patents for invention and utility model and related applications, registered designs, unregistered designs, copyrights and related rights, software and database rights, secret information, as well as any other intellectual property and/or intangible exploitation right provided for by any applicable law ("IP Rights") and any future development or update thereof, are and shall be the exclusive property of NATIX Network;
The present Agreement grants a limited, non-exclusive, non-transferable, non-sublicensable, and personal license to access and use the App subject to Users' acceptance and full compliance with them.
Users shall not claim any rights with respect to the ownership and/or the right of economic exploitation of the IP Rights and shall refrain from engaging in any act or omission that may impair the IP Rights in any way;
The use of the IP Rights and the Trademark in connection with any activity, product or service that may cause confusion, dilute or tarnish the IP Rights, the Trademark or the owner thereof is expressly prohibited. By way of example and not limitation, the following is prohibited:
modifying the IP Rights and Trademark in any way, including, without limitation, shapes, designs, attributes or color schemes;
attempting to appropriate a trademark, copyright or otherwise acquire additional intellectual property rights in any way related to the IP Rights;
post, publish, submit or transmit or otherwise use in relation to the App and its functionalities any content that infringes, misappropriates, or violates a third party’s patent, copyright, trademark, trade secret, moral rights, or other intellectual property rights, or rights of publicity or privacy;
use any meta tags or other hidden text or metadata utilizing a NATIX Network trademark, logo, URL, or product name without NATIX Network’s express written consent;
using IP Rights or any part thereof in a manner or in connection with text, images, video or other forms of media in such a way as to:
be racist or discriminatory;
threaten, advocate or depict acts of cruelty, hatred, intolerance, violence;
be offensive or express explicit content that is or could be considered inappropriate, unsuitable or offensive;
encourage or depict irresponsible or illegal use of alcoholic beverages, nicotine, tobacco, marijuana, drugs or controlled substances, including use by minors;
promote, encourage or refer to unlawful or inappropriate driving behaviors or that in any way can represent an irresponsible way of conducting vehicles;
infringe the intellectual property rights or privacy rights of others;
be or may be illegal or otherwise in violation of or contrary to any applicable federal, state, or local law, regulation, or ordinance;
refer to, represent, or in any way negatively reflect NATIX Network.
Amendments and where to find the Agreement
NATIX Network reserves the right to offer the User an amendment to the Agreement at any time. An amendment to the Agreement shall only become effective with the express consent of the User.
Changes that do not materially affect your rights (e.g., corrections, technical adjustments, or administrative updates) may be implemented without prior notice.
If you do not agree to any proposed amendment, you may terminate this Agreement free of charge and with immediate effect prior to the effective date of the amendment. Termination can be completed by deleting the account in the App.
Users may review the Agreement at any time via the link in a specific section of the App.
Communications
All the communication between the Parties in connection to, or anyway in relation to the Agreement shall happen:
via the channels present in the App;
via the email address that the User has indicated while registering, or as part of a subsequent update of their data
Severability and transfer of the Agreement
If any provision of the Agreement is held invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the other provisions of the Agreement will remain in full force and effect.
You may not assign or transfer the Agreement, by operation of law or otherwise, without NATIX Network’s prior consent. NATIX Network may freely assign or transfer the Agreement. In the event of a transfer of the Agreement, the User has the right to terminate the Agreement without notice and free of charge. without restriction, and the transferor or assignor shall not remain jointly and severally liable. Subject to the foregoing, the Agreement will bind and inure to the benefit of the parties, their successors and permitted assigns.
NATIX Network’s failure to enforce any right or provision of the Agreement will not be considered a waiver of such right or provision. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of NATIX Network. Except as expressly set forth in the Agreement, the exercise by either party of any of its remedies under the Agreement will be without prejudice to its other remedies under the Agreement or otherwise.
Choice of Law The law of the British Virgin Islands shall apply to the exclusion of the UN Convention on Contracts for the International Sale of Goods and the conflict of laws. Consumers may invoke more favorable provisions of their local law at any time.
